Welcome to the services provided by Virtual Presence Technologies LLC ("VPT," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our applications, websites, SMS/MMS messaging services, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
VPT provides a platform that connects physicians to imaging centers (locations/sites). When a medical event occurs during a scan, technologists at a location can use VPT's tablet application to call or chat with an assigned physician. The Services include mobile applications, web interfaces, SMS/MMS messaging, push notifications, and related communication tools.

By providing your phone number and opting in, you consent to receive SMS/MMS messages from VPT related to the Services. These messages may include notifications, alerts, authentication codes, and other service-related communications.

The frequency will be in accordance to the frequency of such events.
You can opt out of receiving SMS/MMS messages at any time by texting STOP to any message you receive from us. Upon receiving your STOP request, you will receive a one-time confirmation message, and you will no longer receive SMS/MMS messages from us unless you opt in again.

Message and data rates may apply. Please contact your wireless carrier for details about your text messaging and data plan. You are responsible for any charges incurred through your wireless carrier.
Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission from your wireless service provider/network operator and is outside of our control. T-Mobile is not liable for delayed or undelivered messages.
The Services are compatible with most major US carriers. However, not all carriers may be supported, and service availability may vary.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and trademarks, are owned by or licensed to VPT and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our prior written consent.
Your use of the Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. We will not sell, share, or otherwise disclose your personal information, including your phone number, to third parties for marketing purposes.
The Services may involve the transmission of protected health information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). VPT implements administrative, physical, and technical safeguards to protect PHI in accordance with applicable law. Users who are covered entities or business associates agree to comply with all applicable HIPAA requirements when using the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VPT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE FULLEST EXTENT PERMITTED BY LAW, VPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES.
You agree to indemnify, defend, and hold harmless VPT and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services or violation of these Terms.
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.
